Only applies where explicitly required by a product listing, or separately requested and accepted.
This Commercial License is not automatically included with every pack purchase. It only applies where the product listing you purchased explicitly says a Commercial License is required, or where you separately request and accept one because your intended use exceeds the standard license described in our License Agreement. If neither applies to you, this page does not create any obligation on your part.
The standard License Agreement covers personal use and, where stated, professional/client use of a pack. This Commercial License instead applies to larger-scale commercial exploitation — for example, reselling a product built on the pack to many customers, or running a revenue-generating service built on it.
Where applicable, a Commercial License is defined by the following parameters, agreed in writing (email confirmation or signed agreement) between you and Online Corps for the specific pack concerned:
| Parameter | Value for your agreement |
|---|---|
| Revenue threshold triggering royalties | Not currently offered; bespoke commercial agreement required |
| Royalty percentage above threshold | Not currently offered; bespoke commercial agreement required |
| Calculation period | Not currently offered; bespoke commercial agreement required |
| Declaration method | Written declaration (email or client-panel form) sent to [email protected] at the end of each calculation period. |
| Payment terms | Due within 30 days of the declaration, by the payment method agreed with Online Corps. |
If a Commercial License is in effect, you agree to keep reasonable supporting records (invoices, sales reports) evidencing the revenue subject to royalties, for at least the duration required by applicable accounting law, and to make them available for a reasonable, proportionate review by Online Corps or an independent accountant bound by confidentiality, on reasonable notice and no more than once per calculation period, absent evidence of inaccurate reporting.
A materially inaccurate declaration or a failure to pay amounts properly due under an active Commercial License is treated as a breach of that license. Online Corps may, after giving notice and a reasonable opportunity to correct the situation, suspend the commercial rights granted and/or pursue the amounts actually owed. This Agreement does not entitle Online Corps to claim an arbitrary penalty unrelated to the actual amount owed; any dispute will be resolved under the governing law and dispute-resolution terms of our Terms & Conditions of Sale.
A Commercial License may be terminated by either party with written notice if the other party is in material, uncured breach of its terms. Termination of the Commercial License does not automatically terminate the underlying standard license granted under our License Agreement, unless the breach also violates that Agreement.
